NexCert

Terms of Service

Effective 16 October 2026 · Version 1.1

In short

1. Who these terms are between

These Terms of Service ("Terms") form a binding agreement between:

By creating an account, using the service, or clicking "I agree", you accept these Terms. If you don't accept them, don't use NexCert.

2. Definitions

Service — the NexCert web application and marketing site at nexcert.uk and app.nexcert.uk, plus any related APIs, mobile builds, or add-ons we make available. Customer — the organisation (or self-employed individual) that pays for a NexCert subscription. Also called "you" in these Terms. User — any person the Customer authorises to access the Service under the Customer's account (owner, admin, QS, engineer, etc.). Certificate — any statutory or non-statutory record produced through the Service (EIC, EICR, CP12, CP17, CP42, CP14, CP2, Minor Works, Visual Condition Report, or any future cert family added to the Service). Content — everything the Customer or its Users upload, enter, or generate through the Service: property records, cert data, photos, signatures, client information, tenant information, and so on. Subscription — the paid plan tier (Solo, Small, Growth, Medium, Large, Enterprise) selected in Billing, plus any active add-ons. Fees — the amounts payable for the Subscription and any usage over included allowances.

3. What NexCert does and what it doesn't

NexCert is a compliance-workflow platform. The Service helps a qualified electrical or gas contractor:

Professional responsibility rests with the qualified person. NexCert is a software tool, not a scheme body, not a certifying authority, and not a professional adviser. Every certificate issued through the Service is legally the responsibility of the qualified engineer, QS, or scheme-registered contractor who signs it — the sign action is a professional declaration. NexCert's technical checks (validation against BS 7671, GN3 classification, ACS-quals guard, reference-cert diff, etc.) assist that professional; they do not replace their judgment, do not certify compliance on their behalf, and do not shield them from professional or statutory liability. If a check misfires or a validation is missed, the certificate is still the signer's certificate.

4. Eligibility and accounts

5. Acceptable use

Full detail is in the Acceptable Use Policy (AUP), which is incorporated into these Terms by reference. In summary, you will not, and will not permit any User to:

A breach of the AUP is a breach of these Terms and can result in suspension or termination under section 13.

6. Your Content

You own your Content. You keep all intellectual property rights in the data you put into NexCert.

To run the Service for you, you grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process your Content strictly for the purposes of providing, securing and improving the Service. That licence ends when the Content is deleted or your account is closed, subject to statutory retention (see Privacy Policy).

You are responsible for the legal right to upload and process every piece of Content. That includes ensuring you have any consents or lawful basis needed to process personal data of tenants, clients and other third parties through the Service.

7. Our intellectual property

The Service itself — the code, design, database schema, cert templates, AI prompts, brand, and everything you see or interact with that isn't your Content — belongs to NexCert or is licensed to us. Nothing in these Terms transfers our intellectual property to you. You may not remove, obscure or alter any copyright, trademark or attribution.

Certificate templates and formats reproduce the standard field structure required by the applicable British Standard (BS 7671, BS 5839-6, BS 5266, GSIUR record-keeping conventions, etc.) — those field layouts are common industry practice; scheme-body trademarks are yours where displayed on issued certs, and remain the property of their respective bodies (NICEIC, NAPIT, SELECT, Gas Safe Register, BAFE, FIA, MCS).

8. Subscriptions, trial, billing

8.1 Plans

Current tier prices and included allowances are published on the Pricing page. We may change prices with at least 30 days' notice before your next renewal; if you don't accept a price change, cancel before renewal and your subscription ends at the end of the current period.

8.2 Trial

From launch, new accounts get a 7-day free trial with AI helpers on (limited to 10 AI uses a day), no card required. At the end of the trial, if you don't add payment details, the account is downgraded to read-only until you do.

8.3 Billing cycle

Subscriptions renew monthly (or annually, if you pick annual). Renewal is automatic unless cancelled. Fees are charged in advance for the coming period.

8.4 Cancellation and refunds

You can cancel any time from the Billing screen. Cancellation takes effect at the end of the current billing period; you keep access until then. We don't refund partial periods unless required by law or expressly agreed in writing.

8.5 AI allowance and extra AI allowance

Each plan includes a monthly AI allowance; the number of certificates is not limited. If you turn on extra AI allowance in Billing, AI use beyond your plan's allowance is charged at the rates published on the Pricing page (£0.02 per token for the first 1,500, £0.015 for the next 3,000, then £0.01, plus VAT), billed monthly in arrears. You can set a monthly cap in Billing; when it is reached, AI features pause until the next month.

8.6 Taxes

Prices shown are exclusive of VAT unless stated. Where VAT is chargeable it will be added to your invoice at the prevailing UK rate. You are responsible for any other taxes, levies or withholdings that apply to you.

8.7 Late payment

If a payment fails, we will retry the card and notify you. Persistent non-payment (typically 14 days past due) results in service suspension. Extended non-payment (typically 60 days) may result in account closure — see Termination.

9. Availability, changes to the Service

We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. Planned maintenance is scheduled outside working hours where practical and announced in advance where possible. We may add, change, or remove features to improve the Service; if a change materially reduces functionality you rely on, we'll notify affected Customers by email at least 30 days before.

Formal Service Level Agreements (uptime credits, response times) apply only to Customers on an Enterprise contract with an SLA schedule signed. All other Customers are covered by the general commitment above.

10. Third-party services

NexCert uses third-party sub-processors (hosting, email delivery, payments, CDN) listed in our Privacy Policy. We remain responsible to you for their handling of your Content under UK GDPR. We are not responsible for third-party services you choose to connect to NexCert (accounting integrations, job-management platforms, MCP clients, etc.) — those are governed by your agreement with the third party.

11. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care as required by law.

Otherwise, and to the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that the Service will be error-free, uninterrupted, or fit for any particular certification workflow beyond the general purpose for which it is designed. AI-generated content, extraction results, and validation checks are aids to a qualified professional — they are not guaranteed to be accurate or complete, and reliance on them without independent professional review is at the Customer's risk.

12. Liability

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under UK law — including liability for:

Subject to that, and to the maximum extent permitted by law:

13. Term and termination

You may terminate at any time by cancelling in Billing.

We may terminate or suspend your account if:

14. What happens on termination

15. Confidentiality

Each party will keep the other party's confidential information confidential and use it only for the purpose of performing under these Terms. This does not restrict information that is in the public domain, was already known to the receiving party, was lawfully received from a third party, or is required to be disclosed by law or court order.

16. Data protection

Our processing of personal data is described in our Privacy Policy. Where NexCert processes personal data on behalf of the Customer (Content), the parties comply with UK GDPR under the Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference and takes precedence on data-protection matters as set out in DPA section 14. A signed counterpart is available on request at [email protected].

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to active Customers at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you don't accept a change, cancel before it takes effect.

18. Notices

Notices to you may be given by email to the address associated with your account, or by a notice inside the Service. Notices to us should go to [email protected].

19. General

20. Governing law and jurisdiction

These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we retain the right to bring proceedings against you in any jurisdiction where you are established or where the breach occurred.
